These are the public and nonprofit bodies in Georgia that help two or more owners start a business together, fund it and settle it when they disagree. Georgia runs partnerships on older statutes than most of its neighbors, so what looks like a national default is sometimes not. Every one here is free or low cost, and every link goes to the organization itself.
This is general information as of October 2026; a lawyer in Georgia should read your actual agreement.
Georgia's partnership rules at a glance
- The law. General partnerships still follow the 1914 Uniform Partnership Act (O.C.G.A. §14-8-1). LLCs have Georgia's own 1993 act (O.C.G.A. §14-11-100). LLPs and LLLPs are both open to any partnership. All 50 states compared.
- The cost. An LLC files online for $110, then owes a $60 Annual Registration every year between January 1 and April 1. An LLP is recorded with the county clerk, not the Secretary of State, and has no annual renewal. Fees in every state.
- Non-competes. The 2011 Restrictive Covenants Act enforces one that is reasonable in time, area and scope. A covenant against a departing partner or seller of an ownership interest is presumed reasonable up to 5 years or the length of the payout. Every state's rule.
- When a court can end it. Georgia's only ground for an LLC is that it is not reasonably practicable to carry on the business under its own agreement; there is no oppression ground and no statutory buyout. Grounds by state.
