These are the public and nonprofit bodies in Pennsylvania that help two or more owners start a business together, fund it and settle it when they disagree. Every one is free or low cost, and every link goes to the organization itself.

This is general information as of October 2026; a lawyer in Pennsylvania should read your actual agreement.

Pennsylvania's partnership rules at a glance

  • The law. General partnerships and LLCs both sit in Title 15, harmonized versions of RUPA and RULLCA (15 Pa.C.S. §8411 for partnerships, §8811 for LLCs). LLPs and LLLPs are both open to any partnership. All 50 states compared.
  • The cost. An LLC files for $125, then owes only a $7 annual report each year between January 1 and September 30 (the report began in 2025; late filing does not bring dissolution until 2027). An LLP registers for $125 and owes a per-partner annual registration due April 15. Fees in every state.
  • Non-competes. No general statute: courts apply reasonableness, holding a sale-of-business covenant to a more lenient standard than one on an employee. A 2024 act voids most physician noncompetes signed after January 2025 unless a year or less. Every state's rule.
  • When a court can end it. An LLC can be dissolved for unlawful activity, impracticability, or illegal, fraudulent or oppressive conduct; only the oppression ground lets the court order a buyout instead (15 Pa.C.S. §8871). Grounds by state.
