These are the public and nonprofit bodies in New Jersey that help two or more owners start a business together, fund it and settle it when they disagree. Every one is free or low cost, each is public, nonprofit or university-run, and every link goes to the organization itself.
This is general information as of October 2026; a lawyer in New Jersey should read your actual agreement.
New Jersey partnership rules at a glance
- The law. General partnerships follow the Revised Uniform Partnership Act (N.J.S.A. §42:1A-1). LLCs have New Jersey's RULLCA (N.J.S.A. §42:2C-1). LLPs are open to any partnership; the state has no LLLP. All 50 states compared.
- The cost. An LLC files for $100 (cut from $125 on 1 July 2026), then owes a $75 annual report every year. A general partnership files nothing unless it trades under another name, which goes to the county clerk. Fees in every state.
- Non-competes. No statute; courts weigh the employer's legitimate interest, the hardship on the person restricted and the public interest, with no wage floor or duration cap written into law. A bill to ban them broadly cleared one committee in 2025 but has not become law. Every state's rule.
- When a court can end it. An LLC can be dissolved for illegal, fraudulent or oppressive conduct directly harmful to the member asking, or because it is not reasonably practicable to carry on; the court can order a custodian or a buyout instead of winding up the company, and this ground cannot be waived in the operating agreement. Grounds by state.
